Welcome to Eendesk!

Please read these Terms of Use and our Privacy Policy carefully. They form a contract between you and Eendesk and govern your use of and access to the Website(s) and Services by you, your Affiliates, Agents, Authorized Users (e.g., health workers, supervisors), and End‑Customers (e.g., program beneficiaries), whether in connection with a paid subscription or a free account.

The Eendesk website (the "Website") provides information about and access to our electronic community health information system and related software and services (the "Services"). Our proprietary software and code, together with the Services, are referred to collectively as the "Platform." Users of the Platform ("User," "you") may use it only in accordance with these Terms.

1) Acceptance of Terms; Amendments

Each time you access or use the Website or Platform, you agree to be bound by these Terms of Use ("Terms"), as updated from time to time. We may amend the Terms with notice to your registered account email. If you use a particular Service, you are also subject to any rules/guidelines applicable to that Service, which are incorporated by reference. Please also review our Privacy Policy, which is incorporated into these Terms.

2) Agreement to the Terms

By accessing or using the Platform in any way—including the Software or Services—you acknowledge that you have read and understood these Terms and the Privacy Policy and agree to be bound by them and comply with all applicable laws and regulations. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM OR ACCESS THE WEBSITE.

We may revise the Terms with notice to your registered email. We will make reasonable efforts to post a prominent notice for material changes. The current version is available at https://admin.onevie.app/terms.

3) Description of Eendesk (eCHIS)

Eendesk is an electronic community health information system that enables health programs and facilities to: register clients/households; record encounters and services; manage care plans and outreach; schedule follow‑ups; support supervision; sync data for reporting to health information systems; and generate role‑based analytics and dashboards. Availability may vary at our discretion; we do not guarantee uninterrupted availability.

4) Regulatory Roles; Data Stewardship

Controller/Processor

For data‑protection purposes (e.g., GDPR/UK GDPR/NDPA or analogous laws), the health program, facility, or organization that configures Eendesk is typically the Controller; Eendesk acts as a Processor/Service Provider.

HIPAA (if applicable)

Where U.S. HIPAA applies, Eendesk acts as a Business Associate for Services designated as HIPAA‑eligible and will execute a Business Associate Agreement (BAA).

DPA

We may provide a Data Processing Addendum ("DPA") addressing data‑processing details, subprocessors, transfers, and security. If there is a conflict, the DPA/BAA (as applicable) governs over these Terms.

Your Responsibilities

You are responsible for: (i) lawful basis/consent; (ii) providing required notices to data subjects; (iii) role‑based access management; (iv) device/endpoint security for your Authorized Users; (v) data accuracy and record‑keeping policies; and (vi) honoring data‑subject rights (access, deletion, etc.).

5) Clinical Safety; No Medical Advice; No Emergency Service

Important Notice: Eendesk supports documentation and program management. It does not provide medical advice, diagnosis, or treatment, and is not a substitute for clinical judgment or emergency services. The Platform is not a medical device and is not certified for real‑time life‑support decisions. If you are a health professional, you remain solely responsible for your decisions and compliance with clinical standards and local regulations.

6) Your Use of the Platform

6.1 Platform Access

Subject to these Terms and applicable law, Eendesk grants you a non‑exclusive, non‑transferable, non‑sublicensable right to access and use the Platform solely to support your public‑health/clinical program operations (e.g., registration, encounter documentation, supervision, reporting), as configured by your organization.

6.2 Software License

If we provide any software (including mobile applications) (the "Software"), Eendesk grants you a personal, revocable, non‑exclusive, non‑transferable license to use the Software solely for your internal use with the Platform and only in accordance with these Terms and our written instructions (if any). The Software is part of the Platform.

6.3 Acceptable Use

You will not: (i) misuse the Platform or attempt to bypass technical or access controls; (ii) upload unlawful content or malware; (iii) attempt to re‑identify de‑identified data; (iv) use the Platform to provide emergency response; or (v) use automated scraping/crawling except as expressly authorized in writing.

7) Registration; Accounts; Offline Use; Cookies

To open an account ("Account"), provide accurate and complete information (e.g., organization details, valid email). You are responsible for safeguarding credentials and for all activity under your Account. Certain features support offline capture and later sync; you are responsible for device physical security and local‑storage protections. We may use cookies and similar technologies; see our Privacy Policy.

8) Plans; Fees; Cancellations; Payment Methods

We may offer free and premium plans. Premium plans require monthly or annual payment via third‑party processors. Use of any online payment system is at your sole risk. If we enable Stripe or similar processors, your use is subject to their terms (e.g., Stripe Services Agreement). You may request to terminate your subscription per your plan terms.

9) Data; Confidentiality; De‑identification

Program Data

Patient/client, household, encounter, and related data you input ("Program Data") remains owned by you or your organization as applicable.

Use by Eendesk

We process Program Data to provide the Services; to secure, maintain, and improve the Platform; to comply with law; and as otherwise permitted by your DPA/BAA and Privacy Policy.

Analytics

We may use aggregated or de‑identified data for analytics, quality, safety, and product improvement. We will not attempt to re‑identify de‑identified data.

Confidentiality

We will protect Program Data as confidential and apply administrative, technical, and physical safeguards appropriate to the sensitivity of the data.

10) Security; Access Controls; Incidents

We implement industry‑standard security measures and maintain access controls and audit logging for our environment. You are responsible for your users' role‑based permissions, strong authentication, device security, and timely revocation. We will notify you without undue delay after becoming aware of a Security Incident affecting Program Data, consistent with applicable law and your DPA/BAA.

11) Location Data Collection & Use

11.1 What We Collect

Depending on your configuration and permissions, the Platform may collect Location Data, including:

  • Precise location (e.g., GPS/device sensors) when authorized by the user or device settings;
  • Approximate location (e.g., IP address, Wi‑Fi/Bluetooth beacons, cell‑tower triangulation);
  • Program identifiers (e.g., mapped households, facilities, geocoded service points, check‑in kiosks, badge/QR scans).

11.2 How We Use Location Data

To:

  • Support workflows such as on‑site visit verification, household mapping, outreach routing, stock/site coverage, heatmaps, and supervisory checks;
  • Improve security and fraud detection (e.g., unusual access flags);
  • Provide analytics to you/your organization (e.g., visit density, catchment coverage); and
  • Personalize in‑app context (e.g., nearest facility/supply point), as described in our Privacy Policy.

11.3 Your Choices & Controls

Users can manage permissions in device settings (precise vs. approximate; allow once; while using app; deny). Disabling Location Data may limit certain features. Program administrators can disable or restrict location‑based features in configuration.

11.4 Sharing & Retention

We may share Location Data with:

  • Service providers acting on our behalf under contract;
  • Your organization (Controller) consistent with your configuration and legal basis;
  • Authorities where required by law or to protect rights/safety.

We retain Location Data only as long as necessary for the purposes above or as required by law. We may use aggregated or de‑identified location information for analytics and product improvement.

11.5 Accuracy & Limitations

Location signals can be imprecise or unavailable. Eendesk does not warrant the accuracy, completeness, or availability of Location Data and is not liable for decisions made in reliance on it.

11.6 Organizer/Controller Obligations

If you enable location‑based features, you are responsible for required notices/consents for your end users and for complying with local laws and community standards.

12) Interoperability & Integrations

The Platform may integrate with third‑party systems (e.g., national health information systems, messaging, identity, inventory, or analytics tools). You authorize us to exchange data with such services as configured by you. Third‑party terms govern those services. You are responsible for lawful configuration and data transfers.

13) Content; IP; Feedback

13.1 Site/Service Content

All materials available via the Platform-including software, documentation, interfaces, text, images, and audio/video ("Site Content")—are protected by intellectual‑property and other rights. Except as expressly authorized by Eendesk or permitted by the Platform's intended functionality, you may not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display/perform, publish, adapt, edit, or create derivative works of Site Content.

13.2 User‑Generated Content

You retain ownership of content you upload ("UGC"), subject to rights necessary for us to operate the Services. You represent that you have all rights/permissions needed and that your UGC is lawful to host and process. We may remove UGC at our discretion.

13.3 Feedback

If you submit feedback, ideas, or suggestions, you grant Eendesk a non‑exclusive, worldwide, royalty‑free license to use them without restriction.

14) Subdomains

We may provide you a subdomain. All subdomains are the property of Eendesk.

15) Third‑Party Links & Content

The Website may contain links to third‑party websites or content posted by third parties. We are not responsible for such content, products/services, privacy/security practices, or any resulting loss. Access is at your own risk, and we do not endorse third‑party content.

16) Suspension & Termination

We may suspend or terminate access if you breach these Terms, pose security risks, or use the Platform unlawfully. You may terminate per your plan terms or master agreement. Upon termination, we will handle Program Data as set out in your DPA/BAA, master agreement, or our data‑retention policy.

17) Disclaimers

YOU USE THE WEBSITE, PLATFORM, AND INTERNET AT YOUR OWN RISK. THE WEBSITE, PLATFORM, SOFTWARE, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING TITLE, NON‑INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET REQUIREMENTS; BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE; THAT RESULTS WILL BE ACCURATE OR RELIABLE; OR THAT ERRORS WILL BE CORRECTED. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED IS AT YOUR DISCRETION AND RISK.

18) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EENDESK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OPPORTUNITY, OR BUSINESS INTERRUPTION; ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR PLATFORM; DELAYS, INACCURACIES, OR ERRORS; LINKED SITES; OR PERFORMANCE OF CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WHERE LIABILITY CANNOT BE EXCLUDED, IT IS LIMITED TO FIFTY U.S. DOLLARS (US $50).

YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE WEBSITE OR PLATFORM IS TO STOP USING THEM.

19) Indemnification

You agree to indemnify, defend, and hold harmless Eendesk, its directors, officers, employees, suppliers, licensors, affiliates, agents, and third‑party content providers from any losses, damages, claims, costs, expenses, demands, and actions arising out of or related to: (i) your use of the Website/Platform; (ii) your breach of these Terms; (iii) your violation of any rights of another; or (iv) your organizations failure to meet legal obligations regarding Program Data. These obligations survive termination. We may assume the exclusive defense and control of any matter subject to indemnification.

20) General

Governing Law; Venue

These Terms and your access/use are governed by the laws of Nigeria, without regard to conflicts of law. You agree to the exclusive jurisdiction and venue of the courts located in Abuja, Nigeria for disputes not subject to arbitration (if applicable).

Data Residency/Transfers

Cross‑border processing may occur subject to appropriate safeguards (e.g., Standard Contractual Clauses) as detailed in your DPA.

No Waiver

Our failure to enforce any provision is not a waiver.

Severability

If any provision is unenforceable, it will be enforced to the maximum extent possible; the remainder remains in full force.

Third‑Party Beneficiaries

These Terms benefit Eendesk and its directors, officers, employees, suppliers, licensors, affiliates, agents, and third‑party content providers, each of whom may enforce applicable provisions directly.

Entire Agreement

These Terms, together with any Order Form, DPA/BAA, and policies referenced herein, form the entire agreement regarding the Services.
